OFFICIAL RULES

NO PURCHASE IS NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING AND THE ODDS OF WINNING DEPEND ON THE TOTAL NUMBER OF ELIGIBLE ENTRIES RECEIVED.

This Slim Chicken’s ‘Teachers Are a Big Dill’ Sweepstakes (the “Sweepstakes” is sponsored by Slim Chicken’s Development Company, LLC (“Slim Chicken’s”, “Sponsor”, “we”, “our” or “us”). By submitting a Teachers Are a Big Dill Nomination Form (described below), agreeing to participate, enter and/or become an Entrant (defined below), or by accepting a prize, you unconditionally agree to accept and comply with all of the terms and conditions in these Official Rules, as well as any Nomination Form you submit, which together form a legally binding and enforceable contract between you and us and for ease of reference may simply be referred to collectively as the “Official Rules.” We may also refer to the Teacher’s Are a Big Dill Nomination Form simply as a “Nomination Form.”

We are looking for people to nominate eligible teachers, and academic educational professionals who demonstrate or have demonstrated exemplary service, achievement and professionalism in teaching, who have motivated or encouraged students or others in the community or have otherwise distinguished themselves and considered worthy of special recognition. The nomination process and terms and conditions that apply are described in these Official Rules.

1. Who is an Eligible Entrant?

In order to be eligible to enter, participate and be awarded a prize, you must be an “Entrant” and to qualify and be eligible as an Entrant, you must be:

• Be a legal resident of the United States, at least 18 years of age or older (or considered an adult in the State in which you legally reside); AND
• Be a currently active (i.e., actively returning Fall 2024 semester) who is engaged as a teacher or equivalent educational professional (an “educator”) in any public or private school, charter school, academic or educational institution accredited, authorized and operating under governmental authority or a private institution authorized to grant legally recognized degrees (e.g., Bachelors; Masters; PhDs) accredited by a legally recognized accreditation granting authority (each of the foregoing, a “school”), within the State of Arkansas or any of the Counties in the States of Texas, Alabama that are on the list of Counties on Exhibit A which is at the end and part of these Official Rules ; AND
• Be nominated through the use of a nomination form that can be found on our nomination web page at Teachers Are a Big Dill Nomination Form (the “Nomination Form”); AND
• Confirm your approval, consent and willingness to enter, participate and become an Entrant and be bound by these Official Rules.

Neither any officers, directors, employees, managers and owners of the Sponsor, any parent, subsidiary, affiliate or franchisee, nor any of its or their respective advertising and promotional agencies, suppliers, contractors, vendors and licensees, nor any immediate family members (spouse, parents, siblings and children) or individuals residing in the same household as any these individuals (individually and/or collectively, the “Sponsor Entities”) are allowed or eligible to nominate anyone, enter, become an Entrant, participate in the Sweepstakes or win or be awarded a prize.

2. When Can You Nominate Your Favorite Educator?

Nominations are made by completing and submitting a Nomination Form to us during the entry period. The entry period for this Sweepstakes begins on August 23th, 2024, at 12:01:00 a.m. U.S. Eastern Time (“ET”) and ends at 11:59:59 p.m. ET, on September 21st, 2024 (the “entry period”) and your Nomination Form must be received by us before the end of the entry period in order for your nominee to be eligible to be entered and eligible to win. Proof of your submission or transmission of an entry will not be deemed to be proof of receipt by us within the entry period and we are not responsible for lost, late, incomplete, invalid, unintelligible or misdirected entries, which will be disqualified. The date and time of our actual receipt of your entry, as recorded by our systems, is the sole and exclusive mechanism by which your entry will be considered received or not received within the entry period.

3. How Do You Nominate an Educator?

You can nominate yourself or someone else can do so, if you are eligible to become an Entrant, as follows:

• You may nominate yourself to become an Entrant by completing and submitting a Nomination Form for yourself. If you submit a Nomination Form nominating yourself, you are representing to us that all the information you submit is true, correct and complete. You are also giving us your consent to use the information you provide on the Nomination Form in accordance with our Slim Chicken’s Privacy Policy, but with respect to the Sweepstakes specifically you are giving us explicit permission and consent to use the information you provide to us, whether on the Nomination Form or otherwise, as described in these Official Rules and also in all respects in connection with the Sweepstakes, including, without limitation, advertising, marketing, publicity and promotion related to the Sweepstakes, in any and all distribution channels and media, including, without limitation, social media.
• In addition, anyone else who knows you can nominate you to become an Entrant, by completing and submitting a Nomination Form, nominating you to become an Entrant in the Sweepstakes. To nominate someone else, you must be a legal resident of the United States and at least 18 years of age or older (or considered an adult in the State in which you legally reside). In addition, by completing and submitting a Nomination Form, you are giving us your consent to use the information you provide on the Nomination Form in accordance with our Slim Chicken’s Privacy Policy and with respect to this Sweepstakes, in advertising, marketing, publicity and promotions related to the Sweepstakes, in any and all distribution channels and media, including, without limitation, social media platforms; provided, however, if your Entrant does not win a prize, we will only use or refer to your first name and legal State of residence in doing so and none of the other information about you that you provide on the Nomination Form.
• If someone else nominates you, the Nomination Form will ask them to provide sufficient electronic or digital contact information (g., email address, phone number) that belongs to you and that we can use to contact you when we receive the Nomination Form. We will use that information to attempt to contact you, but if we are unable to contact you or you don’t respond to our attempts to contact you within three (3) days from our initial attempt to reach you or if you notify us you do not wish to participate or be entered into the Sweepstakes, we will delete and erase all the information provided to us on the Nomination Form (both from the person submitting the information and you). If we are able to contact you, we will ask you to confirm to us either that:

(A) you agree to become an Entrant and accept the nomination someone else submitted proposing you as a Entrant and you confirm to us that: (i) the contact and identifying information and references provided on the Nomination Form are all complete and correct or make all necessary corrections; AND (ii) all of the information about you and descriptions related to you on the Nomination Form are accurate, complete and truthful, to the best of your knowledge; AND (iii) you approve of the information on the Nomination Form submitted by someone else, either ‘as is’ or as corrected by you; AND (v) you grant us your permission and consent to use the information on the Nomination Form or you otherwise provide to us, as described in Section ‎2(a) above;

OR

(B) you indicate you do not wish to participate or be entered into the Sweepstakes as an Entrant.

Whether you nominate yourself or someone else nominates you, unless you indicate you do not wish to become an Entrant and you do not wish to be entered into the Sweepstakes, you will be representing and warranting to us that all of the information on the Nomination Form applicable to you is true, correct and complete, that you meet the eligibility requirements and that, as an Entrant, you agree to comply with the all of the terms and condition of these Official Rules, which forms a legally binding and enforceable contract between you and us. You will then be considered an “Entrant” for purposes of these Official Rules and the Sweepstakes.

No other methods of nomination or of becoming an Entrant are acceptable or will be accepted and we reserve the right, at any time during the conduct and operation of this Sweepstakes to authenticate and verify any and all information provided by the person submitting a Nomination Form and, unless the nominee declines to participate or be entered in the Sweepstakes, the educator nominated to on the Nomination Form. Nomination Forms will be deemed made and submitted by the identifiable owner of the email account applicable to the submission of the Nomination Form, at the time the Nomination Form is submitted. In the event of a dispute, the individual submitting the Nomination Form may be required to provide proof that she or he is the owner or authorized holder of the identified account. Only one Nomination Form per Entrant is permitted. If you nominate yourself and one or more other people also nominate you, we will combine the information on these Nomination Forms into a single Nomination Form and we will consider you as having confirmed your acceptance of the Nomination that have also been submitted by any other people, as described above; provided, however, we will still ask you to follow the procedures applicable to the nominations from others, as described above, to be sure you confirm that all the information is truthful, accurate and complete or you correct any information that is not. In the event of any dispute or ambiguity as to who has submitted a Nomination Form or the identity of any person submitting a Nomination Form or any Entrant, the Sponsor has the right, in Sponsor’s sole determination and discretion, to disqualify the nominee from becoming an Entrant.

Nomination Forms must not contain any information, content or material that violates these Official Rules or that, in the Sponsor’ sole opinion and judgment, infringes the rights of any other party, contains any profane or obscene material, any express or implied commercial endorsement, any derogatory characterization of any person or group based on age, race, color, gender identity or expression, sexual orientation, religious beliefs, marital status, mental or physical disability, citizenship, creed, national origin, physical appearance, political affiliation, union membership, veteran status or other ethical or unlawful factors, refers to any behavior, conduct or activity deemed inappropriate by the Sponsor. Nomination Forms that are incomplete or not submitted in accordance with these Official Rules will be disqualified.

4. If You Decide to Submit a Nomination Form.

The Nomination Form involves your providing us with your (and if you are nominating someone other than yourself, their) personally identifiable information (“PII”). PII will be used to contact you, to authenticate the information in the Nomination Form, and if you are a nominee, to obtain your consent and approval to becoming an Entrant. We may also use PII in accordance with our privacy policy which you can read and review at Privacy Policy. If you nominate yourself or otherwise agree to become an Entrant if you are nominated by someone else, you are also agreeing and giving us your explicit consent and permission to use your PII as specifically described in these Official Rules, in the Nomination Form, any affidavit and release forms, if applicable, and all other documentation you will be required to agree to and execute in order to be awarded and receive a prize. Other than the initial submission of a Nomination Form, if you become an Entrant in the Sweepstakes, we will use the term “Nomination Form” to mean and refer to all of the information that is submitted on the Nomination Form and/or that is otherwise provided by you in connection with this Sweepstakes, including all additions, deletions, corrections and other changes you make as an Entrant, in order to make the information we have about you complete, correct and truthful.

By submitting a Nomination Form to enter yourself in the Sweepstakes or by accepting and agreeing to be nominated by someone else and, in either case, entered into the Sweepstakes as an Entrant, as described above, you  grant Sponsor, its affiliated companies, its and their agents and representatives (“Sponsor Entities”), a perpetual, non-exclusive, irrevocable, worldwide license and right to display, use, exploit and otherwise treat as its and/or their own, the descriptions and content provided in the Nomination Form or as otherwise provided by you in connection with this Sweepstakes; provided, however, with respect to any PII, we agree to comply and abide by any and all laws or regulations that apply and impose restrictions or requirements that may be applicable to your PII. Subject to compliance with laws and regulations applicable to your PII, you acknowledge Sponsor Entities shall have the right to use, modify, reproduce, publish, perform, display on all forms of media, distribute, make derivative works of, use same in advertising and promotional material, and otherwise commercially and non-commercially exploit the information on the Nomination Form, in perpetuity and throughout the universe, in any manner or medium now existing or hereafter developed, without notice, attribution or compensation to you or any other person or entity. For an Entrant to be declared an actual winner and be awarded a prize, that Entrant must follow the instructions contained in their notification which describe how they must comply with these Official Rules, including the completion of the necessary documentation and forms and confirm their eligibility, authenticate the information on the Nomination Form (or as corrected by the Entrant).

5. IMPORTANT: Becoming an Entrant.

If you nominate yourself, you are also consenting to all of the terms and conditions, including, without limitation, our rights to use the information you provide to us in any way and by any means, on the Nomination Form, adding, correcting or changing the information submitted or that we otherwise obtain in connection with your submission and, if you become an Entrant, your participation in the Sweepstakes.  If you are nominated by someone else proposing that you become an Entrant and participate in the Sweepstakes, you must give us your consent and permission to do so. If you do not, we will erase and destroy all of the information about you that we have obtained, whether on a Nomination Form or otherwise, that is in our possession or under our control.

6. PICKING AND NOTIFYING THE WINNERS. There will be a total of five (5) prize winners in this Sweepstakes. At some time within the first week after the entry period begins, we will draw the first (1) potential prize winner from all the Entrants entered into the Sweepstakes as of that time. After that, , About a few days after Saturday, August 31, 2024 and at the end of each week after that (e., each Saturday at 11:59:59 p.m. ET) during the remaining entry period, we will draw one (1) more potential prize winner from all the Entrants entered into the Sweepstakes as of that time. Each time we will attempt to notify that Entrant that they are a potential prize winner using the contact information as confirmed by the Entrant. If any selected Entrant: (a) cannot be notified within three (3) days after the drawing; or (b) receives our notification but fails to respond to us or provide the information and documentation required by these Official Rules within five (5) days of being notified; or (c) in the event of non-compliance with any of these Official Rules at any time, then that Entrant will be disqualified as a potential prize winner, will forfeit receiving a prize, and an alternate potential prize winner will be selected at random from the remaining eligible Entrants. If necessary, this process will continue until an eligible Entrant qualifies to be considered a prize winner and be awarded a prize.
7. PRIZES: There will be a total of five (5) prizes awarded, one initial prize and then after the end of each week of the remaining entry period, as described above. Each of the prizes consists of a delicious catered lunch from the Sponsor for your entire classroom valued at up to five hundred dollar ($500). The retail value of each of these prizes is five hundred dollars ($500) and the total value of all the prizes is two thousand dollars ($2,500). The Sponsor reserves the right to substitute any prize for a prize of equal or greater value. If any federal, state, provincial and/or local income taxes or any other costs and expenses are associated with the acceptance, receipt and use of all or any portion of any prize, they are the sole responsibility of the winner. We cannot be, are not and will not be responsible if the winner of any prize is unable to accept or use all or any portion of the prize, due to any failure to qualify or comply with these Official Rules or restrictions imposed by law, regulation or other rules or requirements that apply to a winner’s acceptance, receipt or use of any prize award. If any prize winner fails to comply with any applicable restrictions, requirements or rules, or fails to comply with these Official Rules in any way, the Entrant may be disqualified as a prize winner and will forfeit any prize award or portion that remains unused. Except for our right to substitute a prize of equivalent or greater value, no prizes may be transferred, substituted or exchanged, nor cash equivalent allowed.

In order to be awarded the prize, the potential winner will be required to sign and return an affidavit of eligibility and release form that includes a publicity release. Among other things, the publicity release included in the form includes, without limitation, a publicity release granting permission to the Sponsor Entities to use and publish, among other things, their name, photograph, State of residency and other information described in the publicity release, for promotional and publicity purposes, without further compensation or consideration and will also permit the Sponsor to arrange to publicize the award of a prize and will explicitly give consent and grant permission to the Sponsor Entities to permit and authorize any public relations firm, advertising agency, news or other information gathering agency or institution to be present at the awarding of the prize, observe, make a record of, use and publish same.

If the potential prize winner returns the required documentation properly completed and signed and has complied with all the Official Rules, we will award the Entrant a prize as described above. If an Entrant, as a potential prize winner, fails to properly complete, sign and return the required documentation within the required time period, that individual will be disqualified and declared ineligible, and we will select and contact the next alternate potential prize winner as described above.

The decisions of the Sponsor in all respects applicable to the Sweepstakes, including, without limitation, Nomination Forms, confirmations and verifications, consents, eligibility of Entrants, selection of potential prize winners, compliance with these Official Rules and award of prizes, are and will be final and binding in all respects.

8. PERSONAL INFORMATION:

You always have the right and will always be given the ability to opt out of receiving future unsolicited marketing emails by using an unsubscribe link at the bottom of each email we send or by contacting us at the address below.

9. DISCLAIMER & RELEASE: Whether you are submitting a Nomination Form or you become an Entrant, you are: (i) assuming sole responsibility for all risks and liability for any damages, losses or injury sustained, incurred, caused or claimed to be caused as a result of participation in the Sweepstakes and/or the acceptance, awarding, receipt, use and/or misuse of any prize; and (ii) releasing and agreeing to indemnify and hold the Sponsor Entities harmless from and against any and all losses, damages, liability, costs and expenses based on any demand, claim or cause of action associated with and/or arising out of participating in the Sweepstakes and/or the acceptance, awarding, receipt, benefit from and/or use (or misuse) of all or any portion of the prize, including, but not limited to, claims based on rights of privacy and/or publicity.

This Sweepstakes is in no way sponsored, endorsed, administered by or associated with Facebook or Instagram (or Meta, the parent company) or any other third party, whether social media platform or otherwise. You understand that even though you may have learned about the Sweepstakes on their or any other social media platform, in order to submit a Nomination Form your browser will be redirected to our webpage to do so. Any information you provide on the Nomination Form or otherwise in connection with your submission of a Nomination Form or, if applicable, as an Entrant, is provided to us, not them and they have no liability or responsibility at all for the Sweepstakes.

10. DISPUTES: The interpretation and validity, all issues involving or related to these Official Rules and this Sweepstakes, including, without limitation, the rights and obligations of the parties, shall be construed, enforced and governed exclusively by the substantive laws of the State of Arkansas, without reference to any conflict of laws principles that might result in the application of the laws of any other jurisdiction. By entering, participating or accepting a prize, each entrant is agreeing that: (1) all decisions and determinations of the Sponsor are final and binding for all purposes relating to or associated with the Sweepstakes; (2) any and all disputes, claims, controversies and causes of action arising out of or connected with this Sweepstakes, shall be resolved with you individually, without resort to any form of class action, and exclusively by the Federal or State Courts located in the State of Arkansas; (3) any and all claims, judgments and awards to you shall be limited to actual out-of-pocket costs incurred, including costs associated with entering this Sweepstakes not to exceed $100, but in no event attorneys’ fees; and (4) under no circumstances will you or anyone claiming under or through you, be permitted to seek, claim or obtain a judgment awarding, and you hereby waive all rights to claim, any indirect, incidental, consequential, punitive, special, exemplary and/or any other damages, regardless of the form of action or basis of the claim and whether or not foreseeable and regardless of whether a party has been notified of the possibility of such damages.

11. GENERAL: If any of your activities are or may be in violation of criminal and/or civil law, we reserve the right to seek damages to the fullest extent permitted by law and, in our sole determination and discretion, we may provide information to appropriate government and law enforcement authorities. We may disqualify you as an Entrant if you fail to comply with these Official Rules or if we believe you have been or are tampering, interfering with or disrupting any entries, the conduct or the operation of the Sweepstakes. We reserve the right to withdraw, discontinue, cancel, terminate, suspend or modify the Sweepstakes for any reason, including, without limitation, fraud, misconduct, technical problems, human error or causes beyond our control that interfere with the administration, integrity, security or operation of the Sweepstakes, as determined by us in our sole discretion. If we terminate the Sweepstakes before the end of the entry period, we have the right, but not an obligation, to choose prize winners from the eligible Entrants that were entered into the Sweepstakes prior to termination. We are not responsible for typographical or other errors in the administration of the Sweepstakes or award of any prize. If we delay or fail to enforce our rights that doesn’t mean we waive them.
